회사 등록 유지하려면 개정된 업데이트 반드시 해야~

2015년 NZ Companies Office 회사 등록청에서 발효된 Companies Amendment Acts 2014 개정법에 의하면 아래 사항에 대해 업데이트가 되지 않으면 회사 등록 유지가 불가하게 된다.
각 회사의 annual return filing month에 따라 7월부터 10월 28일까지 아래 사항에 대해 업데이트가 이루어져야 한다. (회사 annual return달이 7, 8, 9 월인 경우 각 해당 달까지/ 그 이외의 회사는 10월 28일까지) 이미 회사가 등록취소 상태이거나 취소 예정인 분은 무시하시면 된다.
1. Companies Office의 개정법에 따라 5월 1일부터 모든 Director의 생년월일, 출생지 -도시와 나라(예: Seoul, Korea) 사항을 의무적으로 추가하게 되었다.생년월일 사항은 공개되지 않는다.
2. 또한 Director 최소 1명 이상이 뉴질랜드 거주지 주소로 등록된 뉴질랜드 거주자여야 한다.호주 거주자인 경우 호주 회사의 director로 등재된 분만 가능하다. 이 경우 해당 호주회사의 이름, 주소, 이사의 사항이 기재된 서류를 첨부해야하며 그 외 다른 해외 거주자로만 director가 이루어진 경우 NZ 거주자 한 분 이상이 director로 추가되어야 한다.
3. 대주주(50% 이상)가 개인이 아닌 회사로 이루어진 경우 그 회사의 주주 사항과 Ultimate Holding Company가 따로 있는지 여부에 대해 업데이트 해야 한다.
Ultimate Holding Company (UHC)
An ultimate holding company is commonly called a holding or parent company. This is because it controls another.
Types of ultimate holding company may include:
· Companies, including overseas companies
· Limited Partnerships
· Building Societies
· Other body corporate
Family trusts are not ultimate holding entities.
If a company has a UHC, it will need to provide the Registrar of Companies with information about that UHC. The information that must be provided is:
the name of the ultimate holding company;
the ultimate holding company’s country of registration;
the ultimate holding company’s registration number or code (if any);
the registered office of the ultimate holding company.
